This End User License Agreement ("Agreement" or "EULA") constitutes the Terms of Service for Prisma Signals.

This End User License Agreement ("Agreement" or "EULA") is a legally binding contract between you ("User," "you," or "your") and Prisma Signals ("Company," "we," "us," or "our"). This Agreement governs your access to and use of the Prisma Signals digital products, services, Discord community, and all related content (collectively, the "Service" or "Services").

BY PURCHASING A SUBSCRIPTION, ACCESSING THE SERVICE, OR USING ANY PART OF THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE TO ALL TERMS, DO NOT PURCHASE, ACCESS, OR USE THE SERVICE.

This Agreement incorporates by reference our Privacy Policy and Return & Cancellation Policy, both available on our website or upon request. In the event of a conflict, this Agreement shall control unless expressly stated otherwise.

Subject to your strict compliance with this Agreement and payment of all applicable fees, Prisma Signals grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable, personal license to access and use the Service solely for your personal, non-commercial educational purposes during the term of your active Subscription.

We actively monitor for unauthorized copying and redistribution of Proprietary Content. We reserve the right to use technical measures, including but not limited to digital watermarking, fingerprinting, session tracking, access logging, and automated detection tools, to identify and prevent unauthorized use. You consent to such monitoring as a condition of accessing the Service.

To access the Service, you must create or link accounts through our authorized platforms, including Whop and Discord. You agree to:

4. Subscriptions, Payments, and Renewals

Access to the Service requires a valid, paid Subscription. All payments are processed through Whop or other authorized third-party payment processors. By purchasing a Subscription, you agree to:

We may change Subscription fees at any time upon notice. Fee changes apply to renewals occurring after the effective date of the change. If you do not agree to a fee change, you must cancel your Subscription before the renewal date.

5. Intellectual Property Rights

5.1 Company Ownership

All right, title, and interest in and to the Service, Proprietary Content, and all Content, including but not limited to all intellectual property rights, are and shall remain the exclusive property of Prisma Signals and its licensors. The Service and Content are protected by copyright, trademark, trade secret, and other intellectual property laws of the United States and foreign jurisdictions. Nothing in this Agreement grants you any right, title, or interest in the Service or Content except the limited license expressly set forth in Section 2.

All trademarks, service marks, logos, trade names, brand features, chart styles, video formats, signal naming conventions, and proprietary indicators displayed on or through the Service are the property of Prisma Signals or their respective owners. You may not use, reproduce, or display any such marks without our prior written consent.

5.2 Copyright and Trade Secret Protection

Proprietary Content constitutes valuable trade secrets and copyrighted works of Prisma Signals. Unauthorized copying, distribution, or use of Proprietary Content is a material breach of this Agreement and may constitute copyright infringement, trade secret misappropriation, unfair competition, and/or criminal offenses under applicable law. We reserve all rights to pursue civil and criminal remedies against unauthorized users to the fullest extent permitted by law.

All educational videos, signal alerts, chart analyses, trade idea documents, live session recordings, and annotated materials are copyrighted works owned by Prisma Signals. Copyright notice may or may not be displayed on individual pieces of Content, but all Content is protected regardless of whether a copyright notice is visible.

5.3 User Content License

By submitting User Content to the Service, you grant Prisma Signals a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in connection with operating, promoting, and improving the Service. This license survives termination of your account solely to the extent necessary for us to maintain historical records, comply with legal obligations, or resolve disputes. You represent and warrant that you own or have all necessary rights to submit User Content and that such content does not violate the rights of any third party.

Notwithstanding the foregoing, you retain ownership of your original trading ideas, personal notes, and original analysis that you develop independently. However, any reproduction, summary, or derivative work based on Proprietary Content remains subject to our ownership and the restrictions in this Agreement.

5.4 Feedback

If you provide suggestions, ideas, feedback, or recommendations regarding the Service ("Feedback"), you grant Prisma Signals a perpetual, irrevocable, royalty-free, worldwide license to use such Feedback for any purpose without compensation or attribution to you. Feedback is not considered confidential information.

6. Educational Purpose and Financial Risk Disclaimers

ALL CONTENT PROVIDED THROUGH THE SERVICE IS FOR EDUCATIONAL AND INFORMATIONAL PURPOSES ONLY. PRISMA SIGNALS IS NOT A REGISTERED INVESTMENT ADVISOR, BROKER-DEALER, OR FINANCIAL PLANNER. NOTHING IN THE SERVICE CONSTITUTES LEGAL, TAX, INVESTMENT, OR FINANCIAL ADVICE.

The Content, including but not limited to market analysis, signals, trade ideas, charts, videos, and commentary, represents the opinions and educational perspectives of Prisma Signals and its team. These opinions are based on publicly available information and technical analysis and should not be construed as personalized recommendations to buy, sell, or hold any security, option, forex pair, or cryptocurrency.

6.2 No Guarantees or Warranties

PRISMA SIGNALS DOES NOT GUARANTEE THE ACCURACY, COMPLETENESS, TIMELINESS, OR RELIABILITY OF ANY CONTENT. PAST PERFORMANCE DISCUSSED IN THE SERVICE IS NOT INDICATIVE OF FUTURE RESULTS. ALL TRADING AND INVESTMENT DECISIONS ARE MADE SOLELY AT YOUR OWN RISK.

You acknowledge that:

6.3 Your Sole Responsibility

YOU ARE SOLELY AND EXCLUSIVELY RESPONSIBLE FOR ALL TRADING AND INVESTMENT DECISIONS YOU MAKE. PRISMA SIGNALS BEARS NO RESPONSIBILITY FOR ANY LOSSES, DAMAGES, OR LIABILITIES ARISING FROM YOUR USE OF THE CONTENT OR YOUR TRADING ACTIVITIES. You agree to conduct your own independent research and due diligence before making any financial decision and, where appropriate, consult with a licensed financial advisor, attorney, or tax professional.

7. Community Conduct and Moderation

The Service includes a Discord community where Users may interact. To maintain a productive and respectful environment, you agree to:

Prisma Signals reserves the right, in its sole discretion, to remove User Content, issue warnings, temporarily restrict access, or permanently ban Users who violate these standards. We are not obligated to monitor all User Content but may review and take action as we deem appropriate.

8. Termination

8.1 Termination by You

You may terminate this Agreement at any time by canceling your Subscription in accordance with our Return & Cancellation Policy. Upon cancellation, your license to access the Service terminates at the end of your current paid term, after which your access will be revoked.

8.2 Termination by Prisma Signals

We may suspend or terminate your access to the Service, with or without notice, for any reason, including but not limited to:

THE SERVICE AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, PRISMA SIGNALS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR COURSE OF PERFORMANCE.

WITHOUT LIMITING THE FOREGOING, PRISMA SIGNALS DOES NOT WARRANT THAT:

NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY PRISMA SIGNALS OR ITS REPRESENTATIVES SHALL CREATE ANY WARRANTY.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PRISMA SIGNALS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, TRADING LOSSES, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE SERVICE OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF PRISMA SIGNALS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF PRISMA SIGNALS FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO PRISMA SIGNALS FOR THE SUBSCRIPTION GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED UNITED STATES DOLLARS (US $100).

THE FOREGOING LIMITATIONS SHALL APPLY REGARDLESS OF WHETHER THE CLAIM ASSERTED IS BASED ON CONTRACT, INDEMNITY, WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, AND EVEN IF PRISMA SIGNALS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH CASES, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

11. Indemnification

You agree to defend, indemnify, and hold harmless Prisma Signals and its officers, directors, employees, agents, licensors, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to attorney's fees) arising from:

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you agree to cooperate fully with us in asserting any available defenses.

12. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to this Agreement, including its formation, interpretation, breach, termination, or validity, shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in English and held in Wilmington, Delaware, unless both parties agree to a different location. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm pending the resolution of arbitration. You agree that any claims must be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

13. Changes to This Agreement

We may modify this Agreement at any time by posting the revised version on our website or notifying you through the Service. Material changes will be effective thirty (30) days after posting, and your continued use of the Service after that period constitutes acceptance of the revised Agreement. If you do not agree to the revised terms, you must stop using the Service and cancel your Subscription before the changes take effect.
